1. About these terms

These terms govern your use of the Cosine website at www.getcosine.co.uk and the Cosine service (together, the “Service”). The Service is operated by Blackswan Strategy Partners Limited, a company registered in England and Wales (company number 17158315), with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ (“we”, “us”, “our”).

By creating an account, booking a call, or otherwise using the Service, you agree to be bound by these terms. If you do not agree, do not use the Service. You can contact us at hello@getcosine.co.uk.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract to use the Service. You may use the Service only for your own professional use or on behalf of an organisation you are authorised to bind.

You are responsible for the accuracy of the information you provide, for keeping your account credentials confidential, and for all activity that occurs under your account. Authentication is provided by our processor, Clerk; their service is subject to its own terms which apply to you as an end user.

3. Early access and beta features

The Service is currently in early access. Features may change, be removed, or behave unexpectedly. We do not guarantee any service level, availability, or fitness for a particular purpose during this period. We may invite you to test pre-release features; these are provided “as is”.

4. Acceptable use

You agree not to:

  • use the Service in breach of any applicable law, including data protection law;
  • upload data you do not have the right to upload, including LinkedIn data exported for someone other than yourself;
  • reverse engineer, scrape, or attempt to extract the underlying datasets or models, except to the extent permitted by law;
  • interfere with the security or integrity of the Service, or attempt to gain unauthorised access;
  • use the Service to send unsolicited messages in breach of PECR, the CAN-SPAM Act, or equivalent rules;
  • resell, sublicense, or build a competing product on top of the Service.

We may suspend or terminate your access immediately if we reasonably believe you have breached this section.

5. Your data

You retain ownership of the data you upload (including your LinkedIn export and your capability profile). You grant us a non-exclusive, worldwide, royalty-free licence to process that data solely to operate, secure and improve the Service for you.

We process personal data in accordance with our Privacy Policy, which forms part of these terms.

6. Third-party services

The Service relies on third parties, including Clerk (authentication), Cal.com (scheduling), PostHog (analytics), LinkedIn (advertising measurement) and various hosting and data-enrichment providers. Your use of features that depend on these services is also subject to their terms. We are not responsible for outages, errors or policy changes by those third parties, but we will make reasonable efforts to keep the Service working.

7. Fees

Early access is currently free. If we introduce paid plans, we will give you reasonable notice and the chance to opt in before charging you. Any fees, billing cycles and refund terms will be set out at the point of purchase.

8. Intellectual property

We own all rights, title and interest in the Service, including the software, design, brand, datasets we license, and any improvements or derivatives. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these terms.

You may not use our name, logo, or branding without our prior written consent.

9. Warranties and disclaimers

We provide the Service with reasonable care and skill. To the maximum extent permitted by law, we exclude all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. The Service is provided “as is” and “as available”.

Recommendations produced by the Service are informational. You are responsible for any decisions you take based on them, including outreach to third parties and compliance with applicable laws.

10. Limitation of liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under English law.

Subject to that, we will not be liable for any indirect, special or consequential loss, loss of profit, loss of revenue, loss of goodwill, loss of anticipated savings, or loss or corruption of data. Our total aggregate liability arising out of or in connection with these terms and the Service is limited to the greater of (a) the fees paid by you in the twelve months preceding the event giving rise to the claim, or (b) GBP 100.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these terms, if we are required to do so by law, or if we decide to discontinue the Service. On termination, sections 4, 5, 8, 9, 10 and 13 survive.

12. Changes to these terms

We may update these terms from time to time. Material changes will be notified by email or in-product at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated terms.

13. Governing law and jurisdiction

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these terms, except that we may bring proceedings in any jurisdiction where you reside or where we believe enforcement action is appropriate.

Nothing in this section affects any non-waivable rights you have as a consumer under the laws of your country of residence.
